The Pacifica Foundation Charts a Bold Path Forward Amidst 21st Century Challenges

Los Angeles, CA – April 4, 2025 – The Pacifica Foundation, a historic leader in independent media, is undergoing a transformative evolution to meet the unprecedented challenges of the 21st century. Founded in 1946 to champion free speech and journalistic integrity at stations KPFA, KPFK, KPFT, WPFW, WBAI, and across a vast affiliate network, Pacifica now faces new political, technological, and cultural shifts that demand a strategic restructuring.

Adapting to a Changing Media Landscape

The media landscape has undergone a seismic shift since Pacifica’s inception. Radio is no longer the primary platform for information and dialogue, especially among younger generations who turn to digital media. Additionally, demographic shifts reflect a more diverse and dynamic listener base, necessitating innovative approaches to engagement and programming.

Beyond technological and demographic changes, the political and cultural climate has reached a historic turning point. From the Cold War to the COVID-19 pandemic, Pacifica has been a vital resource for public discourse. However, today’s challenges—ranging from attacks on free speech to the erosion of democratic institutions—demand an even stronger commitment to independent journalism and media integrity.

Strengthening Pacifica’s Governance and Operations

Recognizing the need for structural reform, the Pacifica Foundation has enacted significant governance and management changes, including:

New Bylaws and Board Elections: Implementing direct elections of the national board by listeners and staff, reducing election costs, and clarifying governance roles to improve efficiency.

Court-Ordered Mediation and Settlement: On April 3, 2025, the Pacifica National Board ratified a settlement resolving the 2021 Pacifica Foundation vs. New Day Pacifica court case. This agreement consolidates governance structures and redirects critical financial resources to operations and programming.

Redefining Local Station Boards’ Role: Under the new framework, Local Station Boards will shift their focus from managerial duties to fundraising and community outreach, strengthening Pacifica’s financial foundation and engagement efforts.

Investing in Pacifica’s Future

The Pacifica Foundation is committed to building a resilient and dynamic infrastructure, with key initiatives including:

Expanded Collaborative Programming: Leveraging a network of over 200 affiliate stations, Pacifica has enhanced national programming, including coverage of the 2024 Republican and Democratic National Conventions.

Archival Preservation: In collaboration with the American Archive of Public Broadcasting, WGBH Educational Foundation, and the Library of Congress—with funding from the Mellon Foundation—Pacifica is preserving and digitizing its vast archives for future generations.

Regulatory Compliance & Financial Stability: The organization is successfully updating its financial audits, reduced outstanding debt by 58%—including the full repayment of a $2.1 million loan and a decrease in aged payables—and entered into a consent decree with the FCC to ensure network-wide compliance.

Looking Ahead: National Board Elections in 2026

Pacifica’s governance reforms will be solidified with the upcoming National Board of Directors and Local Station Board elections in 2026, marking a new chapter of transparency, member-driven leadership, and institutional strength.

As Pacifica embarks on this critical transformation, we invite our dedicated listeners, supporters, and volunteers to join us in fortifying independent media. Your contributions and engagement are vital in sustaining the mission of free speech, accurate reporting, and progressive public discourse.

For more information and to review the Bylaws, please visit pacifica.org or contact Stephanie Wells, Pacifica Foundation Executive Director at ed@pacifica.org.

The Pacifica Foundation:
A Commitment to Truth and Free Speech

As a trusted source of news and information, the Pacifica Foundation remains steadfast in its mission to deliver accurate, impartial, and thorough reporting, regardless of the political climate.

During the term of the 47th President, as with any administration, we are committed to serving the public interest by prioritizing facts, context, and transparency while upholding the highest journalistic standards expected of community radio. We categorically reject any attempts to undermine fundamental rights, including public protest, free speech, and the independence of nonprofit media outlets. We oppose efforts to target
political opponents, punish marginalized groups, or impose restrictive policies that threaten the democratic principles we hold dear.

Pacifica’s five major stations, along with our global network of affiliates, will continue to provide a platform for diverse voices, fostering informed and respectful dialogue on the critical issues of our time. Throughout this administration, we are committed to educating our listeners on the
stakes at hand and equipping them with the knowledge needed to advocate for their freedoms. We will also call on Congress, state, and local leaders to exercise their constitutional powers to ensure oversight, investigate wrongdoing, and reject any policies that erode civil liberties.

Free speech is the cornerstone of a healthy democracy, empowering individuals to express diverse viewpoints, challenge authority, and engage in open dialogue. Now, more than ever, we must stand together to protect these freedoms and meet the challenges ahead. The Pacifica Foundation will remain resolute in its commitment to providing accessible, unbiased reporting, thoughtful discourse, and community engagement, ensuring that underrepresented voices and critical issues receive the attention they deserve. We will also continue to play a vital role in emergencies by delivering localized, timely, and relevant information and resources during crises.

By championing free speech and promoting informed citizenship, we strengthen our collective ability to address societal challenges and uphold the values of democracy and inclusion. Since 1946, the Pacifica Foundation has been an independent voice in the media landscape, protecting free speech, civil society, and democracy. We deeply value the trust placed in us and will continue to fulfill our role as a defender of fundamental rights and freedoms, holding leaders accountable and empowering the public to stay informed.

Apr 6, 2018

Contact: Tom Livingston Tel: (510) 316-9783 Email: ed@pacifica.org

Pacifica announces settlement with Empire State Building and Empire State Realty Trust

(New York) – The Pacifica Foundation announced today the settlement on a series of agreements that release WBAI, the organization’s New York radio station, from a court judgment as well as the last two years of its lease at the Empire State Building as of May 31, 2018. The Foundation is also in the final stages of completing an agreement to relocate its transmission facility to a new site nearby. The agreements and move will preserve Pacifica’s service to millions of people in the New York Metro area.

The settlement, announced by the Pacifica National Board, relieves Pacifica of a $1.8 million 2017 judgment for Empire State Realty Trust (the organization that operates the Empire State Building) and against WBAI and Pacifica, additional rent and penalties accrued since the judgment was issued, and any remaining obligations that would have incurred after May 31, 2018.

Funding for the settlement was provided through a loan from the non-profit lender FJC, which includes a reserve amount that frees Pacifica from making payments for the first eighteen months of the loan and interest payments only for the following 18 months before the loan matures after three years.

The pending agreement for the new transmission site at 4 Times Square will include purchase and installation of a new transmitter, which will replace WBAI’s current obsolete and failing 28-year-old unit. Capitalization for the transmitter will be provided by the new landlord, with the cost amortized over the life of the agreement.

The board also announced today the launch of a search for a new permanent Executive Directormas well as a strategic planning effort, and a $56,000 gift from the estate of former WBAI supporter, Mr. Jim Krivo.

Board Chair, Nancy Sorden said, “These series of steps – getting a loan to resolve the judgment, release from the remainder of the lease, moving to our new site, and launching our search for a permanent Executive Director, are steps we are taking to give us the time to recover, stabilize, and improve our operations. This is our opportunity to return Pacifica to its place at the forefront of being a place to hear alternative, progressive, corporation-independent, and community-based voices of music, news, information, and inspiration at a time when they are desperately needed in this country and around the world. As a board and an organization, we are determined to take advantage of this opportunity and call for our communities and progressive people everywhere to join us in the effort.”

“I’d like to first thank the Pacifica National Board, for deciding on this approach and the enormous amount of work they put into it to get us to this point. Second, to FJC for providing this loan at a very difficult time for Pacifica, and third to the team of professionals that helped negotiate the settlement, secure the funding, identify and secure an agreement for our new transmitter location. I’d like to specifically thank our lawyers Sam Himmelstein, and John Crigler of Garvey, Shubert Barer , who represented us with ESRT and helped review and improve these agreements, as well as Marc Hand of the Public Media Company, who helped negotiate the settlement with ESRT and provided brokerage services with FJC. I’d also like to thank our community members, especially from our Los Angeles station, KPFK, who came through with additional loan money to close the gap for what was needed. And last but not least, our thanks also to our new current interim Executive Director, Tom Livingston, who recognizes our dedication and passion and knows how to help us to keep moving forward to get it done.”

About Pacifica

Started in 1946 by conscientious objector Lew Hill, Pacifica’s storied history includes impounded program tapes for a 1954 on-air discussion of marijuana, broadcasting the Seymour Hersh revelations of the My Lai massacre, bombings by the Ku Klux Klan, going to jail rather than turning over the Patty Hearst tapes to the FBI, and Supreme Court cases. Those cases include the 1984 decision that noncommercial broadcasters have the constitutional right to editorialize, and the Seven Dirty Words ruling following George Carlin’s incendiary performances on WBAI.

The Pacifica Foundation operates noncommercial radio stations in five major metropolitan areas, operates the Pacifica Radio Archives with decades of historical audio, and syndicates content to over 300 affiliate stations. Pacifica invented listener-sponsored radio.

Those cases include the 1984 decision that noncommercial broadcasters have the constitutional right
to editorialize, and the Seven Dirty Words ruling following George Carlin’s incendiary performances on WBAI.

The Pacifica Foundation operates noncommercial radio stations in five major metropolitan areas, operates the Pacifica Radio Archives with decades of historical audio, and syndicates content to over 250 affiliate stations. It invented listener-sponsored radio.
